Terms of Service

1. Acceptance of Terms

By accessing or using Gainwise ("the Service"), operated by Gainwise ("we," "us," "our"), you agree to be bound by these Terms of Service. If you do not agree, do not use the Service.

2. Description of Service

Gainwise is an AI-powered portfolio intelligence platform that provides automated analysis, research, news curation, and educational content related to investments. All content generated by the Service is produced by artificial intelligence and is for informational purposes only.

4. Eligibility

You must be at least 18 years old to use the Service. By using Gainwise, you represent that you meet this requirement and have the legal capacity to enter into these Terms.

5. User Accounts

• You are responsible for maintaining the confidentiality of your account credentials.
• You are responsible for all activity that occurs under your account.
• You must provide accurate, current information when creating your account.
• We reserve the right to suspend or terminate accounts that violate these Terms.

6. Subscriptions and Billing

• Gainwise offers Free, Pro, and Premium subscription tiers.
• Paid subscriptions are billed monthly or annually through our payment processor, Paddle (paddle.com). Paddle acts as the Merchant of Record for all transactions.
• By subscribing, you also agree to Paddle's Terms of Service.
• All prices are in USD. Local taxes (VAT, sales tax) may be added by Paddle depending on your location.
• You may cancel your subscription at any time from your account settings.
• Upon cancellation, you retain access to your paid tier until the end of your current billing period. After that, your account reverts to the Free tier.
• We reserve the right to modify pricing with 30 days notice to existing subscribers.

7. Refund Policy

• Monthly subscriptions: You may request a full refund within 7 days of your initial purchase if you have not used more than 3 AI-generated analyses or briefs. After 7 days, or if usage exceeds this threshold, no refund will be issued. You may cancel at any time to prevent future charges.
• Annual subscriptions: You may request a full refund within 14 days of your initial purchase, subject to the same usage threshold above. After 14 days, no refund will be issued, but you may cancel to prevent renewal.
• Renewals: No refunds are issued for automatic renewal charges. You are responsible for canceling before your renewal date if you do not wish to continue.
• Downgrades: If you downgrade from Premium to Pro mid-cycle, the change takes effect at the end of your current billing period. No partial refunds are issued for downgrades.
• How to request a refund: Email support@gainwise.io with your account email and reason for the request. Refunds are processed within 5-10 business days through Paddle.
• Exceptions: We reserve the right to deny refund requests in cases of abuse, fraud, or violation of these Terms.

8. Acceptable Use

You agree not to:

• Use the Service for any unlawful purpose.
• Redistribute, resell, or commercially exploit AI-generated content from the Service.
• Use automated scripts, bots, or scrapers to access the Service.
• Attempt to reverse-engineer, decompile, or extract the underlying AI models or algorithms.
• Circumvent usage limits or access restrictions.
• Impersonate another person or misrepresent your affiliation.
• Use the Service to manipulate markets or engage in insider trading.

9. Intellectual Property

The Service, including its design, features, and underlying technology, is owned by Gainwise and protected by applicable intellectual property laws. AI-generated content provided to you through the Service is licensed for your personal, non-commercial use only.

10. Data and Privacy

Your use of the Service is subject to our Privacy Policy. Your portfolio data is encrypted and never shared with third parties for marketing purposes. AI analysis may involve sending your holdings data to third-party AI providers (e.g., Anthropic via OpenRouter) for processing. These providers are contractually obligated not to retain or train on your data.

11. AI-Generated Content

• All analyses, briefs, research, news, and recommendations are generated by AI and may contain errors, inaccuracies, or outdated information.
• AI models may "hallucinate" and produce information that appears credible but is incorrect.
• Government signal tracking (contracts, congressional trading) is based on publicly available data and AI interpretation, which may not be complete or accurate.
• Price data is sourced from third-party APIs and may be delayed or inaccurate.
• You are solely responsible for verifying any information before making investment decisions.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, GAINWISE AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, INVESTMENT LOSSES, DATA LOSS, OR GOODWILL, ARISING FROM YOUR USE OF THE SERVICE.

OUR TOTAL LIABILITY FOR ANY CLAIM ARISING FROM THESE TERMS OR YOUR USE OF THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM.

13. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR THAT AI-GENERATED CONTENT WILL BE ACCURATE OR RELIABLE.

14. Indemnification

You agree to indemnify and hold harmless Gainwise from any claims, damages, losses, or expenses (including reasonable legal fees) arising from your use of the Service, your violation of these Terms, or any investment decisions you make based on information provided by the Service.

15. Modifications

We may update these Terms at any time. Material changes will be communicated via email or a prominent notice on the Service. Your continued use after changes constitutes acceptance of the updated Terms.

16. Governing Law

These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict of law principles. Any disputes shall be resolved in the state or federal courts located in Delaware.
